1. Introduction & Acceptance of Terms
Welcome to VioTrade ("we", "us", "our"), a product operated by Vioscale Technologies Ltd via the website www.viotrade.co.uk. These Terms of Service ("Terms") govern your access to and use of the VioTrade platform, including our web application, mobile application, and all related services (collectively, the "Service").
By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
Please read these Terms carefully before using the Service. We recommend that you also review our Privacy Policy and Cookie Policy, which form part of these Terms.
2. Service Description
VioTrade is a software-as-a-service (SaaS) platform designed for UK tradesmen and small businesses. The Service provides the following features, subject to your subscription plan:
- AI Website Builder - automated generation, hosting, and publishing of multi-page business websites with SEO optimisation.
- CRM Tools - lead management, contact tracking, quotes, invoices, expense tracking with receipt scanning, VAT management, quarterly VAT reports, profit & loss reporting, and Xero-compatible CSV export.
- Job Management - create and manage jobs, add notes and photos, generate invoices from job records.
- AI Tools - RAMS (Risk Assessment Method Statement) generator, AI voice agent for hands-free business operations.
- Calendar - appointment scheduling, reminders, and auto-generated events from quotes and invoices.
- Social Media Integration - Google Business Profile and social media management tools.
- Mobile App - iOS and Android application providing access to your CRM, voice commands, and push notifications.
3. Account Registration & Responsibilities
To use the Service, you must create an account. When registering, you agree to:
- Be at least 18 years of age.
- Provide accurate, complete, and current information during registration and keep it updated.
- Maintain the confidentiality and security of your password and not share your login credentials with any third party.
- Be solely responsible for all activity that occurs under your account, whether or not you have authorised such activity.
- Notify us immediately at support@viotrade.co.uk if you suspect any unauthorised access to your account.
We reserve the right to refuse registration, suspend, or terminate any account at our discretion if we believe these Terms have been violated.
4. Free Trial Terms
VioTrade offers a 7-day free trial for new users. During the free trial period:
- You will have access to the features included in your selected subscription plan.
- You must provide valid payment details to start your free trial. Your payment method will not be charged during the trial period.
- At the end of the 7-day trial, your subscription will automatically convert to a paid subscription at the applicable plan rate unless you cancel before the trial expires.
- If you cancel during the free trial period, you will not be charged and your access to paid features will end at the conclusion of the trial.
- Free trials are limited to one per person or business. We reserve the right to revoke trials that we believe are being abused.
5. Subscription & Payment Terms
VioTrade offers the following subscription plans:
- Website Pro - £14.99 per month. Includes AI website builder and lead inbox.
- Business Pro - £29.99 per month. Includes full CRM (leads, quotes, invoices, expenses), job management, RAMS generator, calendar, embeddable widget, voice agent, VAT management, P&L reports, and Xero-compatible export.
- All Inclusive - £39.99 per month. Includes everything in Website Pro and Business Pro, plus increased AI tool limits and 20 GB storage.
By subscribing to a paid plan, you agree that:
- Recurring billing - your subscription will automatically renew at the end of each billing period (monthly) and your payment method will be charged the applicable subscription fee.
- Payment processing - all payments are processed securely by Stripe. We do not store your card details on our servers.
- Price changes - we may adjust subscription prices from time to time. We will provide at least 30 days' written notice before any price change takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.
- Cancellation - you may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds will be issued for partial billing periods.
- Failed payments - if a payment fails, we may suspend your access to the Service until the outstanding balance is settled. We will make reasonable efforts to notify you of any payment issues.
6. Acceptable Use Policy
You agree not to use the Service to:
- Upload, publish, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
- Violate any applicable law, regulation, or third-party rights, including intellectual property rights, privacy rights, or data protection legislation.
- Distribute malware, viruses, or any other malicious software or code through your generated websites or the platform.
- Attempt to gain unauthorised access to the Service, other user accounts, or any systems or networks connected to the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any part thereof.
- Use the Service to send unsolicited commercial messages (spam) or engage in fraudulent activities.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
- Resell, sublicense, or otherwise make the Service available to third parties without our prior written consent.
We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including suspending or terminating their account and reporting to law enforcement authorities.
7. User Content
"User Content" means any data, text, images, logos, documents, or other materials that you upload, submit, or create through the Service, including but not limited to business information, contact details, quotes, invoices, expenses, job records, notes, and photos.
- Ownership - you retain all ownership rights in your User Content. VioTrade does not claim ownership of any content you create or upload.
- Licence grant - by uploading or creating User Content on the Service, you grant VioTrade a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, and transmit your User Content solely for the purpose of providing and improving the Service.
- Responsibility - you are solely responsible for ensuring that your User Content does not violate any applicable laws, infringe the rights of any third party, or breach these Terms. VioTrade does not pre-screen User Content but may remove content that violates these Terms.
- Backup - while we take reasonable measures to protect your data, you are responsible for maintaining your own backups of your User Content. VioTrade is not liable for any loss or corruption of User Content.
8. Generated Websites
VioTrade uses AI and templating technology to generate business websites on your behalf. With respect to generated websites:
- Content ownership - you own the text content, images, and business information displayed on your generated website. This includes AI-generated copy that has been produced based on the business details you provide.
- Platform IP - VioTrade retains all intellectual property rights in the underlying website templates, code, design systems, and generation technology. The licence to use these as part of your website is limited to the duration of your active subscription.
- Attribution - generated websites may include a "Powered by VioTrade" attribution in the footer. You agree not to remove, obscure, or modify this attribution.
- Hosting - your generated website is hosted by VioTrade as part of your subscription. If your subscription is cancelled or expires, your website will be taken offline. We are not obligated to provide the source code or files of your generated website.
9. AI-Generated Content
Certain features of the Service use artificial intelligence (AI) to generate content, including website copy, RAMS documents, voice agent responses, and receipt data extraction. You acknowledge and agree that:
- No guarantees of accuracy - AI-generated content is produced automatically and may contain errors, inaccuracies, or omissions. VioTrade does not warrant the accuracy, completeness, or reliability of any AI-generated output.
- User review required - you are solely responsible for reviewing, verifying, and editing all AI-generated content before publishing, sending, or relying on it. This includes website copy, quotes, invoices, and any other generated documents.
- RAMS documents - RAMS documents generated by VioTrade are provided as templates and starting points only. They do not constitute professional health and safety advice. You must review and adapt any RAMS document to your specific project requirements and ensure compliance with all applicable health and safety legislation. VioTrade accepts no liability for any loss, injury, or damage arising from reliance on AI-generated RAMS content.
- Receipt parsing - AI extraction of receipt data (vendor name, amounts, dates, VAT rates) is provided for convenience. You must verify all extracted values before relying on them for accounting or tax purposes.
10. Data Protection
VioTrade is committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
- Full details of how we collect, use, store, and protect your personal data are set out in our Privacy Policy.
- Where you use the Service to collect personal data from your customers (e.g., through lead capture forms on your generated website), you act as the data controller for that data. You are responsible for ensuring your own compliance with UK GDPR, including providing appropriate privacy notices to your customers.
- VioTrade acts as a data processor for customer data collected through your website and stored on our platform. We will process such data only in accordance with your instructions and these Terms.
11. Intellectual Property
All intellectual property rights in the Service, including but not limited to the platform software, website templates, design systems, AI models and prompts, branding, trademarks, logos, and documentation, are owned by VioTrade or its licensors.
Nothing in these Terms grants you any right, title, or interest in the VioTrade platform beyond the limited right to use the Service in accordance with these Terms during your active subscription.
The VioTrade name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of VioTrade. You must not use such marks without our prior written permission.
12. Third-Party Services
The Service integrates with and relies upon certain third-party services. By using VioTrade, you acknowledge that your use of the Service may be subject to the terms and policies of these third parties:
- Stripe - for secure payment processing and subscription management. Subject to Stripe's Terms of Service.
- Resend - for transactional email delivery, including account verification, lead notifications, and document emails.
- Amazon Web Services (AWS) - for website hosting, file storage (images, receipts, documents), and content delivery.
- OpenAI - for AI-powered content generation, voice agent processing, RAMS generation, and receipt data extraction.
- Groq - for speech-to-text transcription of voice commands via the Groq Whisper API. Short audio recordings are transmitted to Groq's servers for transcription.
- ElevenLabs - for text-to-speech synthesis of voice agent responses. Response text is sent to ElevenLabs to generate spoken audio.
VioTrade is not responsible for any disruption, downtime, or data loss caused by third-party service failures. We will make reasonable efforts to notify you of any known third-party outages that affect the Service.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided on an "as is" and "as available" basis. VioTrade makes no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
- VioTrade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of the Service.
- VioTrade's total aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the total amount of subscription fees paid by you to VioTrade in the 12 months immediately preceding the event giving rise to the claim.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
14. Indemnification
You agree to indemnify, defend, and hold harmless VioTrade, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; (d) any User Content you upload, create, or transmit through the Service; or (e) your use of AI-generated content, including RAMS documents, without proper independent review and verification.
15. Service Availability
We strive to provide a reliable and high-quality Service, but we do not guarantee uninterrupted or error-free availability. You acknowledge that:
- The Service may be temporarily unavailable due to scheduled maintenance, updates, or upgrades. We will endeavour to provide advance notice of planned maintenance where practical.
- The Service may experience unplanned outages due to technical issues, third-party service failures, or circumstances beyond our reasonable control (force majeure).
- VioTrade does not provide a formal uptime guarantee or service level agreement (SLA).
- We are not liable for any loss or damage arising from Service unavailability, provided we take reasonable steps to restore the Service promptly.
16. Termination & Suspension
By you: You may cancel your subscription and close your account at any time through your account settings or by contacting us at support@viotrade.co.uk. Upon cancellation, you will retain access to the Service until the end of your current billing period.
By VioTrade: We may suspend or terminate your account, with or without notice, if:
- You breach any provision of these Terms or our Acceptable Use Policy.
- Your subscription payment fails and remains unpaid after reasonable attempts to collect.
- We are required to do so by law or regulatory order.
- We reasonably believe your account is being used fraudulently or poses a risk to other users or the Service.
Effect of termination: Upon termination, your right to use the Service ceases immediately (or at the end of the billing period for user-initiated cancellations). Your generated websites will be taken offline. We may retain certain data as required by law or as described in our Privacy Policy. Under UK GDPR, you retain the right to request a copy of your personal data at any time, including after termination. Please submit data export requests within 30 days of account closure to ensure we can fulfil them before data is purged per our retention policy.
17. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Provide at least 30 days' advance notice via email or through the Service before the changes take effect.
- Update the "Last updated" date at the top of this page.
- Post the revised Terms on this page.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and cancel your subscription before the changes take effect.
18. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service:
- Informal resolution - you agree to first attempt to resolve the dispute informally by contacting us at support@viotrade.co.uk. We will endeavour to resolve any complaint or dispute within 30 days.
- Governing law - these Terms are governed by and construed in accordance with the laws of England and Wales.
- Jurisdiction - any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales.
19. Severability & Entire Agreement
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and VioTrade with respect to the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
Waiver: No failure or delay by VioTrade in exercising any right under these Terms shall constitute a waiver of that right. A waiver of any right on one occasion shall not be deemed a waiver of that right on any subsequent occasion.
20. Referral Programme
VioTrade operates a referral programme that allows active paid subscribers to invite others to join the platform.
- Eligibility - only users with an active paid subscription (not a free trial) may participate as a referrer. Each user may earn a maximum of 5 referral rewards per 12-month period, measured from the anniversary of their first paid subscription.
- Referrer reward - when a person you referred signs up using your referral code and makes their first subscription payment, you will receive a credit equal to one month of your current plan price. This credit is applied to your Stripe account and automatically deducted from your next invoice.
- Referred user reward - a person who signs up using a valid referral code will receive their first month free on any paid plan.
- Conditions - referral codes are personal and non-transferable. Self-referrals are not permitted. VioTrade reserves the right to withhold or reverse rewards where referrals are fraudulent, involve the same individual, or otherwise violate these Terms.
- No cash value - referral credits have no cash value and cannot be withdrawn. Credits apply only to your VioTrade subscription and expire if your subscription is cancelled before the credit is applied.
- Programme changes - VioTrade reserves the right to modify or discontinue the referral programme at any time. Credits already earned at the time of any such change will be honoured.
